NON-DISCLOSURE AGREEMENT
This Non-Disclosure Agreement (“Agreement”) is entered into between Global Flamingos, operated by Foris Voyage Consultants Private Limited, and any student, client, partner, employee, consultant, or third party who shares or receives confidential information in relation to study abroad consultancy services, business operations, partnerships, or related services. This Agreement is intended to protect confidential information, business processes, student records, documents, and proprietary information from unauthorized disclosure, copying, misuse, or distribution.
During the course of counselling, admission processing, documentation support, visa assistance, partnership discussions, business collaborations, internships, employment, or consultancy services, both parties may share certain confidential, personal, academic, financial, business, operational, or proprietary information. Such information may include but is not limited to student academic records, personal documents, financial documents, university application documents, visa documentation, business strategies, marketing plans, operational procedures, partner university information, pricing structures, internal documents, training materials, and other sensitive information that is not publicly available. All such information shall be treated as confidential information under this Agreement.
The recipient of confidential information agrees that all confidential information shared by Global Flamingos or Foris Voyage Consultants Private Limited shall be kept strictly confidential and shall not be disclosed, copied, reproduced, shared, published, or distributed to any third party without prior written permission from Global Flamingos. The recipient agrees to use the confidential information only for the purpose for which it was shared, such as admission processing, visa processing, counselling services, business collaboration, internship, employment, or partnership evaluation, and not for any personal, commercial, or competitive use.
The recipient further agrees to take reasonable steps to protect the confidentiality of the information and prevent unauthorized access, disclosure, or misuse. The recipient shall not store confidential documents in publicly accessible platforms, share login credentials, forward confidential emails, or share documents with unauthorized persons. Any breach of confidentiality may result in legal action, termination of services, cancellation of partnership, or termination of employment or internship, depending on the nature of the relationship.
This Agreement shall not apply to information that is already publicly available, information that was already known to the recipient before disclosure, information received from a third party legally, or information required to be disclosed by law, court order, or government authority. In such cases, the recipient must inform Global Flamingos before disclosing such information if legally permitted.
All documents, files, records, data, and confidential information shared by Global Flamingos remain the property of Global Flamingos and Foris Voyage Consultants Private Limited. Upon completion of services, termination of partnership, completion of internship or employment, or upon request by the company, the recipient agrees to return or delete all confidential documents, files, and information in their possession and confirm the same in writing if required.
This Non-Disclosure Agreement shall remain valid during the period of service, partnership, internship, employment, or business relationship and shall continue to remain in effect even after termination of the relationship for a reasonable period to protect confidential business information and student data.
Any violation of this Agreement may result in legal action, claim for damages, termination of services, and other remedies available under the laws of India. This Agreement shall be governed by the laws of India and any disputes arising shall be subject to the jurisdiction of courts located in Bhubaneswar, Odisha.
By using our services, submitting documents, accessing internal materials, working with Global Flamingos, or entering into any business relationship with Global Flamingos or Foris Voyage Consultants Private Limited, you acknowledge that you have read, understood, and agreed to this Non-Disclosure Agreement and agree to maintain confidentiality of all information shared with you.
